MRDRIVER – INSTRUCTOR TERMS & CONDITIONS

1. Definitions

"App" – the mobile application MrDriver (Instructor version).
"Company," "we," "us," "our" – MrDriver, 145 ½ Church Street, Unit 5 Office 32, Toronto ON M5B 1Y4.
"Instructor," "you," "your" – the individual or business entity approved by MrDriver to provide driving‑instruction services through the Platform.
"Lesson" – a driving‑instruction session booked through the Platform.
"Student" – an end‑user who books a Lesson.
"Service Fee" – the percentage of each Lesson Fee retained by MrDriver for Platform use.
"Non‑Solicitation Period" – twelve (12) months after the later of (i) the relevant Lesson date or (ii) termination of these Terms.


2. Our Relationship & Platform Overview

  1. MrDriver operates a digital marketplace connecting Students with independent driving instructors.
  2. Independent Contractor. These Terms do not create an employment, agency, franchise or joint‑venture relationship. You control the manner and means of providing Lessons and are responsible for all expenses, equipment and licences.
  3. Nothing prevents you from offering services via other channels, provided you comply with Section 8 (Non‑Solicitation).

3. Instructor Eligibility & On‑Boarding

  1. Minimum Requirements (Ontario):
    • Valid G‑class driver's licence.
    • Current Ontario DriveTest or MTO‑approved driving‑instructor licence.
    • Minimum two (2) years of uninterrupted licensed driving experience.
    • $2 million+ automobile liability insurance covering driver‑training.
    • Clear Criminal Record & Vulnerable Sector Checks within the past 12 months.
  2. Verification. You must upload the required proof documents. MrDriver's compliance team will manually review and verify their authenticity; we do not use external third‑party verification services.
  3. Accuracy. You warrant that all information provided is true and you will promptly update any change (e.g., licence suspension, address, banking, insurance lapse).

4. Licence to Use the Platform

We grant you a revocable, non‑exclusive, non‑transferable licence to access and use the Instructor App solely for accepting and managing Lessons. You must not reverse‑engineer, resell or otherwise exploit the Platform.


5. Instructor Obligations

  1. Professional Conduct. Deliver each Lesson punctually, sober, in a road‑worthy dual‑control vehicle and in compliance with all traffic laws and MTO standards.
  2. Safety & Insurance. Maintain the insurance listed in Section 3 and provide updated certificates on request.
  3. Compliance with Law. You are solely responsible for complying with all driver‑training regulations, tax obligations and workplace‑safety laws.
  4. No Discrimination. You must not refuse service based on race, colour, religion, sex, national origin, age, disability, sexual orientation or any ground protected by the Ontario Human Rights Code.
  5. Use of Platform Tools. All pre‑Lesson communication and post‑Lesson summaries must be handled through the in‑App chat and reporting tools. Sharing personal phone numbers or diverting Students off‑platform is prohibited (see Section 8).

6. Lesson Bookings, Cancellations & Conduct Standards

  1. Accepting Requests. You may accept or reject a booking request at your discretion before confirmation.
  2. Instructor Cancellations. If you cancel a confirmed Lesson within 12 hours of start, you authorise us to (i) refund/credit the Student and (ii) debit your account for any refund or administrative fee disclosed in the App.
  3. No‑Shows. Failure to appear within 20 minutes of the scheduled time constitutes a No‑Show; MrDriver may refund the Student and charge you the corresponding Service Fee plus penalty.
  4. Lesson Records. You must mark each Lesson as Completed in the App and submit a brief progress note.
  5. Lesson Tracking Requirement. After obtaining the one‑time six‑digit PIN from the Student at the start of the session, you must initiate real‑time Lesson tracking from either the Home page or the Bookings page. Failure to start tracking on more than one (1) occasion may, at MrDriver's discretion, result in non‑payment for the affected Lesson and/or account suspension.

7. Service Fees, Payouts & Taxes

  1. Service Fee. MrDriver retains 10% of the gross Lesson Fee (exclusive of HST if applicable) as consideration for Platform services. We reserve the right to change the Service Fee rate at our discretion; however, any such changes will apply only to future Lessons and will not affect Lessons already completed or confirmed. You will receive reasonable prior notice via email and/or in‑App notification before such changes take effect.
  2. Payout Requests & Schedule. Instructors must initiate a payout request through the App's "Earnings → Request Payout" interface once their available balance reaches a minimum of CAD 1. MrDriver reviews and processes approved requests manually and will disburse funds via one of the following methods, at your election:
    • Electronic Funds Transfer (EFT) to a Canadian chequing or savings account; or
    • Push‑to‑Debit (Visa Direct / Interac Debit) to a Canadian debit card linked to your bank account.
    You must maintain current banking or debit‑card details in your profile. Payouts are normally completed within five (5) business days after approval. Automatic or real‑time payouts are not available.
  3. Chargebacks. You bear the cost of chargebacks related to service quality or fraud. We may offset such amounts against future payouts.
  4. Taxes.
    1. You are an independent contractor responsible for determining whether you must register for HST/GST and for remitting all applicable taxes on your earnings.
    2. Where MrDriver is not registered for HST (see Student Terms § 6), Lesson Fees may not include HST. If we register in future, we will collect HST from Students and remit the Platform portion; you remain responsible for any taxes on your share.
  5. T‑Slips. For Canadian tax reporting, we will issue T4A or other required slips if mandated by the CRA.

8. Non‑Solicitation of Platform Clients (Ontario) & Non‑Circumvention

  1. Platform Clients. The Instructor acknowledges and agrees that any Student or other client introduced or referred to the Instructor through the Platform shall remain a client of the Platform. The Instructor shall not, directly or indirectly, during the term of these Terms or the Non‑Solicitation Period (twelve (12) months after the later of the relevant Lesson date or termination of these Terms):
    1. solicit, contact, provide services to, or otherwise divert any such client for the purpose of circumventing the Platform; or
    2. encourage or facilitate such client to receive services through a competing service, website, application or business not operated by MrDriver.
  2. Liquidated Damages. Any breach of this Section shall entitle MrDriver to injunctive relief and liquidated damages equal to 100 % of the aggregate Lesson Fees such client paid or would have paid through the Platform in the preceding twelve (12) months, plus reasonable legal fees. The parties agree that this amount is a genuine pre‑estimate of MrDriver's damages and not a penalty.
  3. Survival. This Section 8 survives termination or expiry of these Terms.

9. Confidentiality & Data Protection

  1. Confidential Information – all non‑public information about MrDriver's business, Students, pricing, algorithms and software.
  2. You will (i) keep Confidential Information secret; (ii) use it only to perform under these Terms; (iii) not disclose it to third parties.
  3. Student Data. You must not store or use Student personal data (incl. phone numbers, email, location) outside the App. Any export or local storage is prohibited.
  4. Breach Notification. Notify privacy@mrdriver.ca within 24 h of becoming aware of any data breach affecting Student data.

10. Intellectual Property

All Platform IP (code, branding, text, graphics) is owned by MrDriver. You may display MrDriver Marks solely to indicate you use the Platform. We may use your business name and likeness in our marketing.


11. Reviews & Ratings

Students may rate and review Lessons. We may remove reviews that violate policy but are not obligated to screen them. Repeated low ratings (average < 3.5/5 over 20 Lessons) may result in account suspension.


12. Suspension & Termination

We may suspend or terminate your Instructor account immediately for (i) material breach of these Terms, (ii) unsafe driving, (iii) fraudulent activity, (iv) low ratings, or (v) legal compulsion. You may terminate at any time via the App with seven (7) days' notice. Section 8 survives termination.


13. Disclaimers

The Platform is provided "as‑is." We make no guarantee of Student demand or Instructor earnings, and we are not responsible for the acts or omissions of Students on or off the road. MrDriver collects each Student's driver‑licence information (licence class, number, and expiry) to satisfy insurance and regulatory requirements but does not independently verify its authenticity or validity. Your use of the Platform is at your sole risk.


14. Limitations of Liability

To the extent permitted by Ontario law, MrDriver's aggregate liability to you will not exceed the Service Fees retained by MrDriver from Lessons you delivered in the three (3) months preceding the event giving rise to liability. We do not exclude liability for death or personal injury caused by our negligence.


15. Indemnification

You agree to defend and indemnify MrDriver and its directors, employees and agents against claims, damages, penalties or costs arising from (i) your Lessons, (ii) your breach of these Terms, (iii) your negligence or willful misconduct, or (iv) your violation of law.


16. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.


17. Dispute Resolution (Instructors)

Informal Negotiations

To expedite resolution and control the cost of any dispute, controversy or claim related to these Terms (each a "Dispute"), the parties agree to first attempt to negotiate any Dispute informally for at least thirty (30) days before initiating arbitration. Informal negotiations commence upon written notice from one party to the other.

Binding Arbitration

Any Dispute arising out of or in connection with these Terms, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by the International Commercial Arbitration Court under the European Arbitration Chamber (ICAC‑EAC) in accordance with its Rules.

  • Number of arbitrators: one (1)
  • Seat legal place of arbitration: Toronto, Ontario, Canada
  • Language of proceedings: English
  • Governing law: the substantive laws of Canada and the Province of Ontario.

Restrictions

The arbitration shall be limited to the Dispute between the parties individually. To the fullest extent permitted by law:

  1. no arbitration shall be joined with any other proceeding;
  2. the parties waive any right to arbitrate on a class‑action basis or to utilise class‑action procedures; and
  3. no Dispute may be brought in a purported representative capacity on behalf of the general public or any other persons.

Exceptions

The following Disputes are not subject to the above provisions concerning informal negotiations and binding arbitration:

  1. any Dispute seeking to enforce or protect, or concerning the validity of, a party's intellectual‑property rights;
  2. any Dispute related to, or arising from, allegations of theft, privacy invasion or unauthorised use; and
  3. any claim for injunctive relief.

If any portion of this Section 17 is found to be unenforceable, that portion shall be severed and the remaining provisions shall remain in full force, and the Dispute shall be decided by a court of competent jurisdiction in Ontario, Canada.


18. Changes to these Terms

We may amend these Terms with 15 days' notice by email and in‑App alert. Continued use after the effective date constitutes acceptance.
